We hereby inform shareholders, that at a meeting of the Executive Board held on January 18, 2017, the distribution of interest-on-equity was approved for the total gross amount of R$ 15,000,000.00, to be paid out in the ratio of R$ 1,224367759 per share, from February 3, 2017.

1.   INTEREST-ON-EQUITY
1.1.   Interest-on-equity, in the gross amount of R$ 15,000,000.00, shall be paid out in the ratio of R$ 1,224367759 per share, calculated on the 12,251,221 shares that represent the company's paid-up capital;

1.2.   Holders of the shares issued by the company as at 23.01.2017 will have the right to this interest-on-equity distribution. The shares will trade ex-rights with respect to this interest payment from 24/01/2017.

1.3.   Income tax will be retained at source in accordance with the legislation in force.

No income tax will be retained for corporate shareholders who are able to prove their exemption or immunity in this regard, documentary proof of which must be presented at the respective branch of Itaú Unibanco S.A.

2.    SERVICE TO SHAREHOLDERS

2.1. Shareholders who have already provided their bank account details will have their credits made available in accordance with the current account information given to Itaú Unibanco S.A. For shareholders who have not provided this information, Itaú Corretora de Valores S.A. as the company's depositary financial institution, will be sending out notices containing information on this payment, which must be presented at one of the bank branches with instructions for processing the respective bank account credit.

2.2. Shareholders using fiduciary custody services, will have their credits made available in accordance with the procedures adopted by the Stock Exchange.
